1. Services Provided

Onyo Ventures B.V. provides investment funding, strategic guidance, and mentorship to eligible startups and entrepreneurs. Specific investment agreements, including the terms and conditions of funding, will be outlined in separate contracts.

2. Nature of Our Investments

- Investments are high-risk, and there is no guarantee of financial returns.

- Entrepreneurs must acknowledge that the funding provided is intended to support growth, and repayment obligations or equity agreements will depend on the signed investment terms.

3. Eligibility Criteria

To engage with Onyo Ventures B.V.

- Entrepreneurs must submit a complete and accurate business proposal.

- Entrepreneurs and entities must comply with all applicable laws and regulatory requirements.

- Investors partnering with Onyo Ventures B.V. must meet the legal definition of accredited investors under relevant laws.

4. Investment Process

- Application Review: Business proposals will undergo thorough screening and due diligence.

- Decision Making: Investment decisions are at the sole discretion of Onyo Ventures B.V.

- Post-Investment Collaboration: Entrepreneurs agree to maintain open communication and provide regular updates on the use of funds and business progress.

5. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive information shared during the investment process, except as required by law or regulatory authorities.

6. Fees and Costs

- Onyo Ventures B.V. does not charge application fees.

- Any ongoing fees, such as equity share percentages or profit-sharing agreements, will be detailed in individual contracts.

7. Risks and Liabilities

- Investments are inherently speculative and may result in partial or total loss of the invested capital.

- Onyo Ventures B.V. does not guarantee business success, profitability, or growth for the entities it supports.

- Entrepreneurs are responsible for complying with all applicable laws, including tax obligations.

8. Termination

Either party may terminate the engagement upon written notice, provided that the terms of any signed agreements are honored, including confidentiality and repayment obligations where applicable.

9. Dispute Resolution

In the event of a dispute, both parties agree to first attempt mediation. If mediation fails, disputes will be resolved under the jurisdiction of the Amsterdam District Court.

10. Governing Law

These Terms and any agreements derived from them are governed by the laws of the Netherlands.

11. Changes to Terms

Onyo Ventures B.V. reserves the right to amend these Terms as needed. Updates will be posted on our website or communicated directly to stakeholders.
